Terms & Conditions

1) About us

Studio Innate Ltd (“Studio Innate”, “we”, “us”, “our”).

2) What these Terms cover

These Terms govern your use of:

  • our website, shop and any subdomains (the “Site”);

  • downloadable files and materials (“Assets”, e.g., PSD, 3D files, textures, vectors, animations, fonts);

  • our browser-based editors, including AI features (the “Editor”); and

  • your account, subscriptions, payments, and credits.

By using the Site you agree to these Terms, our Licences and our Digital Product Refund Policy, which form part of these Terms.

3) Key definitions
  • Input: your uploads, prompts, settings and data supplied to the Editor.

  • Output: images or video that you export from the Editor.

  • Seat: one natural person authorised to use a licence/subscription (not shareable).

  • Project: a coherent campaign, product line, client engagement or personal piece.

  • Plan: the subscription or licence option you select on the Site.

4) Eligibility & accounts

4.1 You must be able to enter a legally binding contract. If you are under 18, you may use the service only with the consent and supervision of a parent/guardian or an authorised representative of your school or business.
4.2 You must provide accurate details and keep them current. Each account is intended for one registered user unless your Plan expressly allows shared access. Under the Studio Plan, a single set of login credentials provides access to the online Editor for authorised members of the same business. That account must not be shared outside your organisation and must be used only for the business covered by that Plan.
4.3 Where a Plan includes individual user seats, each user must have their own Seat and unique login.
4.4 We may suspend or close accounts for misuse, unauthorised sharing, fraud, non-payment or policy breaches.

5) Acceptable use (Site, Editor & AI)

5.1 Do not upload or prompt for third-party brands/logos, public-figure likenesses, or content that is unlawful, explicit, hateful, infringing, deceptive or invasive of privacy.
5.2 Do not attempt to bypass limits, scrape, reverse-engineer, interfere with or overload the service, or use automated means without permission.
5.3 We use automated moderation and may block or remove violating Inputs/Outputs, throttle usage, and suspend access.
5.4 You are responsible for any required model/property releases in your uploads.
5.5 You must not use our Assets or Outputs to train or fine-tune AI models without our written consent.
5.6 Garment integrity: for mockup workflows, the garment artwork/design must remain intact; the Editor may be used to change scene/background/lighting only (see Licences).

6) Intellectual property & licences

6.1 Your Inputs. You retain ownership. You grant us a limited, non-exclusive licence to host, process, display and back up your Inputs solely to operate the Editor, provide support, and enforce policy.
6.2 Our IP. The Site, Editor and Assets are owned by Studio Innate and/or our licensors.
6.3 Your Outputs. Your right to use Outputs—and your right to use Assets—are governed by the Licences page (Free, Commercial, Extended, Corporate).
6.4 No redistribution. You may not resell, share or redistribute our source Assets or project files, or convert them into competing template/mockup packs or a template-as-a-service.
6.5 Trademarks & notices. Trademarks, branding and look-and-feel are protected. Do not remove notices or watermarks embedded for security/traceability.

7) Subscriptions, auto-renewal & changes to Plans

7.1 Plan details (seats, credit allocation, features, billing cycle) are shown on pricing/checkout pages.
7.2 Subscriptions auto-renew until cancelled. You can cancel at any time via your account; cancellation takes effect at the end of the current billing period.
7.3 You may upgrade or downgrade at renewal (or earlier if we offer proration). Feature changes take effect when the new term begins unless stated otherwise.
7.4 We may update Plan inclusions or pricing. Changes apply on your next renewal; we’ll provide reasonable notice of material changes.

8) Credits (use, refunds, expiry)

8.1 Exports/renders in the Editor consume credits as shown in-product and/or on Plan pages. Credits are per Seat and non-transferable.
8.2 Auto-refunds. If a generation is policy-blocked (e.g., content rules) or we fail server-side, the credit is automatically refunded.
8.3 May still consume a credit. Local/browser issues (tab closed, page refreshed, device sleep, network loss), corrupt/unsupported files, extreme dimensions outside limits, or timeouts caused by device/network constraints.
8.4 Promotional credits. May carry an expiry date (shown in your account) and are not cash-redeemable.
8.5 Disputes. If you believe a credit was deducted in error, contact support@studioinnate.com within 24 hours with screenshots or a short screen recording.
8.6 AI variability. Credits are not refunded for dissatisfaction arising from AI variability (e.g., stylistic drift, differences between runs, minor artefacts) where a job completed successfully. See AI behaviour & limitations (Section 12).

9) Prices, taxes & payment

9.1 Prices are shown on the Site and may change; changes apply on your next renewal.
9.2 Taxes. Prices shown on the Site are exclusive of any applicable taxes. Taxes (if applicable) will be applied and displayed at checkout in accordance with the laws and tax requirements of your billing location at the time of purchase.
9.3 Payments are processed by our payment providers. If a payment fails, we may pause or limit access until resolved.
9.4 Chargebacks or payment disputes may result in temporary suspension while investigated.

10) Delivery of digital content & cooling-off (consumers)

10.1 If you are a consumer in the UK/EU, you typically have a 14-day cooling-off period for distance contracts.
10.2 Immediate access & waiver. We provision immediate access to digital content/services once payment is confirmed. By completing your purchase, you request immediate supply and acknowledge that you will lose your 14-day right to cancel once (a) a download link is delivered/provisioned or (b) access to the Editor/Plan is provisioned to your account. If you wish to retain the 14-day cancellation right without immediate access, do not complete the purchase; contact info@studioinnate.com to request delayed provisioning (rare exception; subject to approval).
10.3 How we handle cancellations, refunds, evidence and timelines is set out in our Digital Product Refund Policy.

11) Service availability, updates & beta features

11.1 We use reasonable endeavours to keep the Site and Editor available but do not guarantee uninterrupted access.
11.2 Features may change, be improved or withdrawn for technical, legal or business reasons.
11.3 Beta. We may offer beta or experimental features. Beta features are provided “as is”, may be unstable, and may be withdrawn at any time.
11.4 No save & no storage (AI Beta). Our AI tool is currently in Beta and does not include a project/save feature. We do not store your AI-generated images or your renders created in the online editor. Always download your generated image immediately. If you refresh, navigate away, or start a new generation, previous images are discarded. We are not responsible for loss of unsaved work after a successful generation.
11.5 Pre-purchase testing. We provide free sample mockups (2D and 3D; AI not included) so you can verify device/browser compatibility and workflow before buying. Please test these, particularly for 3D performance, and review our Device Compatibility table.
11.6 Device compatibility. Our 2D and 3D editors run across desktop and mobile, but 3D performance depends on hardware and browser. See the Device Compatibility table for supported (✓), limited (!)
and not-supported (✕) categories. For best results use Google Chrome with hardware acceleration and close unused apps/tabs.

12) AI behaviour & limitations

Our AI features are non-deterministic: identical prompts can produce different results. Outputs may contain artefacts (e.g., grain, seams, banding, edge halos) or stylistic variation and are not guaranteed to match example images or a specific outcome. Models may be updated over time, which can change behaviour and results. You are responsible for reviewing and approving Outputs before use and for ensuring your use complies with law and third-party rights. Automated moderation reduces (but does not eliminate) policy breaches; we are not liable for content generated from your Inputs where you control prompts or uploads. Nothing in this section limits rights you cannot legally waive.

13) Third-party services & links

13.1 The Site may link to third-party sites or services. We are not responsible for their content, availability or policies.
13.2 If we provide integrations, the third party’s terms may also apply. You’re responsible for any third-party fees.

14) User content, feedback & testimonials

14.1 You remain responsible for content you post or submit. Do not post confidential information.
14.2 If you choose to provide feedback or testimonials, you grant us a non-exclusive licence to use them for product improvement and marketing (you may withdraw future use by emailing info@studioinnate.com). We may anonymise examples unless you consent to attribution.

15) Compliance checks & audits

15.1 We may request reasonable proof of compliant licence use (e.g., project name, client, volumes, Seat count).
15.2 Failure to provide reasonable information may result in suspension until resolved.

16) Privacy & data protection

16.1 We process personal data in accordance with UK GDPR and the Data Protection Act 2018. See our Privacy Policy(linked in the footer) for purposes, lawful bases, retention, and your rights.
16.2 If personal data is transferred outside the UK/EEA, we use appropriate safeguards (e.g., IDTA/SCCs).
16.3 If your use involves children’s data, you must comply with all applicable laws and ensure you have a lawful basis and any necessary consents.

17) Security

17.1 We implement reasonable technical and organisational measures appropriate to risk.
17.2 You are responsible for maintaining the confidentiality of your credentials and for activity under your account. Notify us promptly of any suspected compromise.

18) Warranties & disclaimers

18.1 Except as required by law, the Site, Editor and Assets are provided “as is” without warranties of fitness for a particular purpose, merchantability or non-infringement.
18.2 We do not warrant that Outputs will be unique or free of third-party claims, nor that the service will be error-free or uninterrupted.

19) Limitation of liability

19.1 Nothing limits or excludes liability for death or personal injury caused by negligence, fraud, or any liability which cannot legally be limited or excluded.
19.2 Subject to 19.1, we exclude all implied warranties and, to the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Site, Editor, Assets or these Terms shall not exceed the amounts you paid to us in the 12 months prior to the event giving rise to the claim.
19.3 We shall not be liable for loss of profits, revenue, business, goodwill, data, or for indirect or consequential losses.

20) Indemnity (business users)

If you are a business user, you agree to indemnify and hold Studio Innate harmless from claims, damages and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your Inputs or use of Outputs; or (c) infringement of third-party rights caused by your use.

21) Termination & suspension

21.1 You may cancel your subscription at any time (effective at period end).
21.2 We may suspend or terminate access immediately if you materially breach these Terms, fail to pay, or misuse the service.
21.3 On termination: your right to use the Editor stops; your licence to previously purchased Assets continues per the Licences page. We may retain account data as required by law and for legitimate interests (e.g., fraud prevention), per our Privacy Policy.

22) Force majeure

We are not liable for delay or failure caused by events beyond our reasonable control (e.g., acts of God, strikes, outages, war, regulatory actions).

23) Notices

We may provide notices via the Site, email to your account address, or in-product messaging. You may notify us at info@studioinnate.com.

24) Assignment & subcontracting

You may not assign or transfer these Terms without our consent. We may assign or subcontract our rights and obligations, provided your rights are not materially affected.

25) Entire agreement, severability & no waiver

These Terms (including the Licences and Digital Product Refund Policy) form the entire agreement between us regarding the Site, Editor and Assets. If any provision is held invalid, the remainder remains in force. Failure to enforce a provision is not a waiver.

26) Governing law & jurisdiction

These Terms and any non-contractual obligations are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that UK/EU consumers may bring claims in their local courts. We’ll each use reasonable efforts to resolve issues informally before proceedings.
